~Adani Airports Holdings to raise ₹9,825 crore, around USD 1 billion, from Alpha Wave Global, Premji Invest, Temasek and BlackRock-managed funds.
Ahmedabad, Gujarat, Sep 09 (VNI): Adani Airport Holdings Limited (AAHL), a subsidiary of Adani Enterprises Limited and one of India’s largest private airport operators, has entered into binding agreements to raise ₹9,825 crore, approximately USD 1 billion, in primary equity capital from a consortium comprising Alpha Wave Global, Premji Invest, Temasek and BlackRock-managed funds.
The transaction values AAHL at a pre-money equity valuation of approximately USD 18 billion and represents one of the largest primary equity investments by financial institutions in India’s airport infrastructure sector. The participation of leading domestic and global long-term investors is seen as a significant institutional endorsement of AAHL’s scale, operating capabilities and long-term growth potential.
Under the Share Subscription Agreement and Shareholders’ Agreement, the investors will subscribe to new equity shares of AAHL in three tranches, with the final tranche expected to be completed by July 2027. Upon completion of all three tranches, the investors will collectively hold approximately 5.54% in AAHL.
The proceeds will be used for expanding and modernising airport infrastructure, accelerating the development of integrated Adani Airport City ecosystems and scaling passenger-facing and other non-aeronautical businesses, including ground handling. The first phase of Airport City development is planned to include around 22 million sq. ft. of mixed-use development. These investments are expected to increase AAHL’s capacity to serve approximately 200 million passengers annually while strengthening commercial monetisation and passenger experience.
The transaction follows Adani Enterprises Limited’s successful ₹15,000 crore qualified institutional placement in July 2026, described as India’s largest QIP by a non-financial corporate. Jeet Adani, Non-Executive Director, AAHL, said the partnership marks an important milestone in building the Adani Airports platform and highlighted the role of aviation growth in driving trade, tourism, employment and regional development.
Arun Bansal, CEO, AAHL, said the company would continue building capabilities to scale AAHL into the world’s largest airports platform, supported by growth opportunities in India, rising consumer spending and the development of city-side ecosystems in major urban centres.
The transaction is subject to customary conditions precedent, including receipt of applicable approvals. Key advisors included Cyril Amarchand Mangaldas, AZB & Partners, JSA Advocates and Solicitors, TT&A Advocates and Solicitors, Jefferies India Private Limited, SBI Capital Markets Limited and Ernst & Young LLP.
